These Terms of Service (“Terms”) govern your access to and use of our website, mobile applications, and other online products and services (collectively, the “ShopRise Services” or “Services”) provided by ShopRise Inc. (“ShopRise”, “we”, or “us”). PLEASE REVIEW THESE TERMS THOROUGHLY, SPECIFICALLY THE MANDATORY ARBITRATION PROVISIONS IN SECTIONS 21 AND 22. THESE SECTIONS MANDATE THAT DISPUTES ARE TO BE RESOLVED THROUGH FINAL AND BINDING ARBITRATION ON AN INDIVIDUAL BASIS, RATHER THAN ON A CLASS-WIDE OR CONSOLIDATED BASIS. IF YOU DO NOT CONSENT TO THIS ARBITRATION PROVISION, YOU CAN OPT OUT AS DESCRIBED IN SECTIONS 21 OR 22.

YOU RECOGNIZE AND CONSENT THAT UTILIZING AN INTERNET-BASED MARKETPLACE AND INTERACTING WITH OTHER USERS IN PERSON CARRIES CERTAIN INHERENT RISKS, AS EXPOUNDED IN SECTION 17.

BY UTILIZING OUR SERVICES, YOU ACCEPT AND AGREE TO THESE TERMS AND ALL TERMS INCORPORATED BY REFERENCE. IF YOU DO NOT CONCUR WITH THESE TERMS IN FULL, YOU MUST REFRAIN FROM USING OUR SERVICES.

For specific Services, we might present different or supplementary terms (including, but not limited to, those pertaining to social media services, third-party payment processors, and third-party fulfillment providers). These supplementary terms, once you engage with the respective Services, become a part of your agreement with us. In case of discrepancies between these Terms and the supplementary terms, the latter will prevail.

We may periodically amend these Terms. If modifications occur, we will notify you accordingly, for instance, through email, a notice via our Services, or by updating the date at the top of these Terms. Unless otherwise indicated, the revised Terms will be effective immediately. Your sustained use of our Services post-notification confirms your assent to the changes. Should you disagree with the modified Terms, you should cease using our Services.

Occasionally, ShopRise introduces novel features which might be accessible to a subset of users. Provisions of these Terms of Service associated with such features may not be applicable universally.

  1. Privacy

Our Privacy Policy elucidates the manner in which we manage, use, share, and process your data.

  1. Eligibility

To avail our Services, you should be a minimum of 16 years old. Those below 18 years of age (or the legal majority age in your jurisdiction) may utilize our Services only under the oversight of a parent or legal guardian, who must agree to these Terms. If you act as a guardian to a user under the said age, you accept full accountability for their actions pertaining to our Services.

Should you register for the ShopRise Services representing a legal entity, you must assert that: (a) the said entity is lawfully constituted and validly existing as per the jurisdiction laws, and (b) you possess the requisite authority to act on its behalf.

If you’re utilizing our Services for another individual or entity, references to “you” in these Terms encompass that entity or individual. You must have the authority to endorse these Terms on their behalf. Both you and the entity or individual will be held accountable for any violations.

Moreover, to use the Services, you must not have been previously suspended or removed from the ShopRise Service. Also, accepting these Terms should not conflict with any other agreements to which you are bound.

  1. User Accounts and Account Security

Accessing certain Services might necessitate registering for an account with ShopRise or with ShopRise’s Payment Provider (refer to section 4(C) for more details). If you opt to register, ensure your account details remain accurate and are updated when necessary. You are also responsible for safeguarding your login credentials. Any unauthorized account access should be reported to us immediately. Account registration with ShopRise mandates legal residency in the United States or its territories. ShopRise holds the authority to reclaim usernames, particularly if they are subject to legal claims, including trademark rights.

  1. The ShopRise Services

  1. Posting Items, Buying and Selling

The ShopRise Services allow you to post items for sale by uploading pictures and providing item descriptions. You can post most items through the Services without charge. ShopRise charges a fee to post some items, for example, if you exceed your available free posts for certain types of items in certain categories. For more information on how and when fees are charged, see below.

When a buyer and seller agree on a price for an item posted for sale on the Services there are several options for completing the transaction.

If a buyer and seller agree, items may be paid for in-person and outside of the ShopRise Services, such as by cash, check, or other agreed-upon payment methods. The details of such a transaction and their payments are made directly between the buyer and the seller when they complete their transaction, pursuant to terms they determine. ShopRise is not a party to such transactions in any way, does not facilitate such transactions, and cannot assist with refunds or returns related to such transactions in any manner. Since ShopRise is not a party or involved in transactions of this nature, you acknowledge we cannot be held liable for any claims that arise out of it.

  1. Posting Jobs

The ShopRise Services allow businesses to post job openings for a fee, which shall be determined solely by ShopRise and may vary according to your location, length of job posting, etc. ShopRise Jobs postings are only available for employment at businesses, not by individuals at this time, and only for positions based within the United States. You may not post any job openings that violate the ShopRise Prohibited Items and Jobs Guidelines.

By posting a job on ShopRise, you are responsible to ensure the content of your posting complies with any and all applicable laws, including any local requirements regarding non-discrimination, disclosure of wages and benefits, age requirements for jobs, and other employment-related disclosures for job postings. ShopRise in no way participates in the job application or screening process. All communications between ShopRise users and potential employers will occur outside of the ShopRise Platform. ShopRise may at any time, at its sole discretion, remove any job posting for any reason without providing prior notice. Please refer to our Jobs FAQ for additional information about Jobs posting options and criteria.

  1. Shipping

ShopRise permits sellers to post certain items as being available for shipping nationwide (within the contiguous United States). Items purchased via Shipping require a user to pay for the purchase with a credit card or other electronic payment method through the Services (“ShopRise Payment Solution”). All purchases made using the ShopRise Payment Solution are made directly between you and the other party according to these Terms and any other terms the parties mutually determine. ShopRise is not a party to such transactions and disclaims any and all responsibility to facilitate such transactions or provide refunds or returns, other than as expressly provided in the Purchase Protection Policies.

Sellers who post items as being available for shipping nationwide must ship their items in accordance with ShopRise’s Shipping Policies, which consist of Shipping Policy, Packaging Policy, and 2-Day Purchase Protection Policy. Sellers who receive a prepaid shipping label are charged a fee for sales that results in an item being shipped. The seller may cancel an accepted offer up until the package is initially scanned for mailing by our authorized shipping partner.

Buyers who have requested items be shipped to them pay for the cost of shipping items. When a seller accepts a buyer’s offer to purchase an item and have it shipped to them, ShopRise will charge or put a hold on the buyer’s method of payment, pending delivery of the item. Buyers can cancel an offer to purchase an item for shipping up until the seller has accepted the offer.

ShopRise is not a party to transactions conducted between buyers and sellers, or to the shipping of items from sellers to buyers, and, other than as expressly provided in the Shipping Policy. ShopRise is not liable for any losses, damages, or delays related to shipping and users ship any item at their own risk.

You agree not to use the ShopRise shipping service in a manner that violates the law and/or United States Postal Service regulations, including but not limited to U.S. Postal Service Publication 52, in any way. Without limiting the foregoing, you may not ship any item that contains weapons, ammunition, explosives, living or infectious biological matter, human remains, pornography, alcohol, prescription drugs, illegal drugs, currency, dangerous goods, hazardous goods, or other goods that may not be shipped or mailed by law. Anyone who ships a prohibited, illegal, or improperly packaged or labeled material is subject to legal penalties such as civil penalties, fines and/or imprisonment, including but not limited to those specified in 18 U.S.C. § 1716 and 39 U.S.C. § 3018.

  1. Payment Accounts

If you choose to make or accept payment for shipping items using the ShopRise Payment Solution, you agree to pay the relevant service fees. ShopRise reserves the right to change the service fees from time to time.

Making or accepting payment using the ShopRise Payment Solution requires you maintain an account with ShopRise’s then-current payment processor for the ShopRise Payment Solution (“Payment Provider”). ShopRise currently uses Stripe, Inc. (“Stripe”), a payment processing service, as its Payment Provider. If you wish to use this feature, you must enroll for the service through Stripe. By providing your credit card or deposit account information, you are entering into an agreement with Stripe and agree to the terms of the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (collectively, the “Stripe Services Agreement”). ShopRise is not a party to the Stripe Services Agreement and is not responsible for the payment services provided by Stripe. If Stripe discontinues providing services in connection with the ShopRise Payment Solution, you authorize Stripe to share your payment method information with an alternative Payment Provider.

THE PAYMENT PROVIDER MUST ACCEPT YOUR APPLICATION TO USE THE SHOPRISE PAYMENT SOLUTION BEFORE YOU CAN RECEIVE SALES PROCEEDS VIA THE SHOPRISE PAYMENT SOLUTION. IF THE PAYMENT PROVIDER REJECTS YOUR APPLICATION OR YOU FAIL TO SET UP A PAYMENT PROVIDER ACCOUNT WITHIN 90 DAYS AFTER COMPLETION OF A SALE PROCESSED THROUGH THE SHOPRISE PAYMENT SOLUTION, THEN THE PAYMENT PROVIDER MAY DISABLE OR LIMIT YOUR ABILITY TO RECEIVE SALES PROCEEDS VIA THE SHOPRISE PAYMENT SOLUTION.

YOUR RIGHT AND/OR ABILITY TO RECEIVE SALES PROCEEDS VIA THE SHOPRISE PAYMENT SOLUTION MAY BE REVOKED, DISABLED, OR LIMITED IF THE PURCHASE OR SALE VIOLATES ANY OF THESE TERMS, INCLUDING THE PROHIBITED ITEMS GUIDELINES REFERENCED IN SECTION 7.

The buyer’s payment, minus any applicable ShopRise fee, will be released to the seller typically 3-5 business days after the purchased item has been delivered to the buyer, provided that no claims are made by the buyer under the Purchase Protection Policies. Purchase Protection claims may result in delay and/or cancellation of payment being released to the seller. Sellers authorize the Payment Provider to pay ShopRise from Seller’s account any fees incurred by the Seller from using the Services.

  1. Tax Responsibilities

– Users are accountable for any sales, use, duty, or other governmental taxes or fees associated with their transactions via the Services.

– If your transactions on the ShopRise Platform—encompassing both the ShopRise application and ShopRise.com—reach certain thresholds, ShopRise may be mandated to report your earnings to the Internal Revenue Service. Should this requirement arise, our Payment Provider will solicit personal details, including your social security number, to furnish the tax form 1099-K. In the absence of this critical information, the Payment Provider might temporarily halt remittances to your banking establishment until the requisite details are procured.

  1. Fee-based Services & Subscription Models

– General: While the ShopRise platform is predominantly complimentary, specific products or services might entail a fee (“Fee-based Services”). These encompass:

  1. Enhanced listing options within the ShopRise marketplace.
  2. Advanced promotional tools for listings.
  3. Exclusive account features.
  4. Job listing capabilities.
  5. Any forthcoming services or features introduced by ShopRise.

Barring exceptional circumstances, the fees for these services will be managed via your designated Apple App Store or Google Play Store account (“Platform”). Some services demand a one-off payment, while others operate on a subscription model with terms elucidated at the point of purchase.

– Subscriptions: Fee-based Services structured on a periodic model, whether monthly or annually, are categorized as subscriptions. The renewal cadence corresponds to your chosen subscription. Upon acquisition, your Platform will initiate the inaugural charge, governed by its intrinsic payment terms. Subscriptions perpetuate at the consistent price and terms unless terminated by you, the Platform, or in the event ShopRise discontinues the service.

– Termination: There’s zero obligation to perpetuate a subscription. However, to terminate, navigate to the relevant section in your Platform at a minimum of 24 hours before the ongoing term concludes. Inaction will result in automatic renewal for another term, with termination only effective post this term.

– Trial Periods: Enrollment in a free trial will culminate in a charge at its conclusion unless preemptively terminated 24 hours before its expiry via your Platform.

– Single Payments: One-time fee-based services won’t renew automatically. However, they can be availed of repeatedly at your discretion.

By procuring any subscription on ShopRise, you’re acknowledging your comprehensive understanding and agreement with these terms, alongside your Platform’s terms, particularly the automatic renewal mechanism until proactive termination is effected.

  1. User Content Protocol

Our platform facilitates the creation, upload, storage, and sharing of diverse content by users, encompassing messages, text, images, videos, software, branding insignias, job specifications, and other resources, collectively referred to as “User Content.” Notwithstanding the subsequent licensing clause, all rights pertaining to your User Content remain vested in you vis-à-vis ShopRise.

You confer upon ShopRise an enduring, irreversible, non-proprietary, royalty-exempt, global, compensated, and transferable license to employ, reproduce, adjust, refine, disclose, transcribe, derive, disseminate, publicly exhibit, and portray your User Content, including any related names, usernames, or images across all media platforms, present or future, without any financial obligation to you. The utilization of any user’s name, image, or identity in association with ShopRise does not insinuate endorsement unless overtly delineated. By uploading or disseminating User Content via our services, you acknowledge that such content and correlated data (e.g., username or avatar) might be accessible to the public. ShopRise collaborates with third parties offering services like user validation and payment processing. Sharing User Content with these external entities might occur when utilizing their tools.

You are prohibited from uploading, storing, or distributing User Content that contravenes these Terms or for which requisite permissions to accord us the aforementioned license are absent. You affirm that your User Content and our sanctioned use thereof will not infringe upon rights or harm any individual or entity. It is impermissible to introduce any content that:

– Breaches legal norms, maligns, defames, is vulgar, or infringes on privacy;

– Is deceptive, promotes deception, or displays falsehood;

– Is judged by ShopRise to be objectionable, or might expose ShopRise or users to risks;

– Infringes intellectual or proprietary rights;

– Propagates criminal acts or contravenes laws;

– Doesn’t represent genuine perspectives;

– Is unsolicited marketing, propaganda, or contains private data;

– Houses harmful or disruptive files.

ShopRise isn’t obligated to actively oversee User Content and does not endorse it. We might, at our discretion, expunge any User Content without prior notice.

  1. Restricted Behavior

While leveraging our Services, adherence to all pertinent laws and regulations is obligatory. You must abstain from:

– Disrupting or impairing users’ experience or our Service’s operations;

– Harassing or intimidating other users;

– Misleading transactions outside the ShopRise platform;

– Unauthorized commercial use of ShopRise;

– Posting deceptive content;

– Delivering spam or unsolicited communications;

– Providing false data during registration or service application;

– Impersonating or posting on behalf of another;

– Misusing payment methods;

– Unauthorized reproduction or distribution of our Services;

– Attempting to discern our source code;

– Deploying automated tools not provided by ShopRise;

– Violating others’ rights, including intellectual property.

Account creation and use must adhere to ShopRise’s guidelines. Specifically, you must not:

– Possess multiple accounts;

– Transfer your account;

– Seek others’ security details;

– Use another’s account without authorization.

Breaching these protocols may result in suspension or termination of access. Enforcement discretion lies with ShopRise, and non-enforcement at times doesn’t waive our rights. This section doesn’t offer third parties any actionable rights or set user expectations regarding content standards.

  1. Proprietary Rights and Restricted License

The Services, inclusive of text, graphics, images, photographs, videos, illustrations, and all embedded content, are the proprietary assets of ShopRise or our licensors, safeguarded by both U.S. and international legal frameworks. Except where expressly stipulated in these Terms, all rights pertaining to the Services remain vested with us or our licensors. Contingent on your adherence to these Terms, you are conferred a restricted, non-exclusive, non-transferrable, non-sub-licensable, revocable license (“License”) to utilize and access our Services.

  1. Revocation and Termination

ShopRise retains the discretion to nullify or terminate your License to the Services for any reason, without prior notification. Among other reasons, this may occur if you:

(i) Fail to fulfill any stipulation in these Terms or any ancillary agreements with us;

(ii) Contravene any policies or directives pertinent to the ShopRise Services or any of its other products or services;

(iii) Deploy the Services in any manner not explicitly permitted by these Terms without our prior written consent.

In cases of suspension or termination, you shall cease all usage of the Services forthwith. ShopRise reserves the prerogative to pursue legal remedies against unauthorized continued use. You might be held liable for ShopRise’s legal expenses in such cases. These Terms remain binding even during suspension or post-termination.

  1. Trademark Rights

The names “ShopRise”, “shoprise.com”, and other associated logos, slogans, and designs are registered trademarks of ShopRise Inc. Any replication, imitation, or unauthorized usage, in entirety or segments, requires our explicit written consent. All other trademarks, names, or logos affiliated with the ShopRise Services belong to their rightful proprietors. Use or mention of third-party names or logos does not signify endorsement or association.

  1. User Feedback

You may voluntarily convey feedback, suggestions, or insights regarding ShopRise or its Services (“Feedback”). Such Feedback may be used at our discretion for any purpose, commercial or otherwise, without remuneration or acknowledgment to you.

  1. Intellectual Property and Copyright Grievances

Alleged infringements of intellectual property or counterfeit items can be reported to ShopRise via our designated form. We also abide by the Digital Millennium Copyright Act and related laws, ensuring appropriate action against users who recurrently infringe upon intellectual rights. For any concerns regarding potential copyright violations on our Services, please reach out to our designated representative:

  1. Third-Party Content

Our Services may feature or provide information on third-party products, services, or content (“Third-Party Content”). Interaction with, or use of, any Third-Party Content is solely at your discretion and risk. ShopRise neither endorses nor guarantees the accuracy or reliability of such content.

  1. Indemnity Provisions

In accordance with the boundaries defined by prevailing laws, you are obligated to indemnify, champion, and absolve ShopRise, inclusive of our subsidiaries, associates, officers, directors, representatives, affiliates, and staff (collectively referred to as “ShopRise Entities”) from any consequential losses, liabilities, demands, damages, or expenditures (“Claims”) stemming from or associated with (a) your utilization or access to the Services; (b) content or feedback provided by you; (c) any breach of these Terms on your part; (d) any infringement, violation, or misappropriation of another party’s rights, encompassing intellectual property or privacy rights; or (e) your actions related to the Services. You consent to promptly inform ShopRise Entities of any third-party Claims, work collaboratively in addressing these Claims, and bear all related fees and expenditures (including attorney fees). Moreover, ShopRise reserves the exclusive right to manage the defense or settlement of third-party Claims. This indemnification is supplementary to any other stipulated in any written accord between you and the ShopRise Entities.

  1. Disclaimers of Warranty

Your interaction with our Services is solely at your discretion and risk. Unless explicitly mentioned otherwise, our Services, inclusive of all embedded content, are rendered “as is” and “as available,” devoid of any warranties, whether explicit or implicit. This extends to, but is not limited to, warranties of merchantability, aptness for a particular function, title, and non-infringement. Furthermore, ShopRise does not vouch for the precision, reliability, completeness, or flawlessness of our Services or that they’re devoid of harmful elements. The onus for the quality and functionality of the Services squarely rests on you.

  1. Liability Constraints

To the maximum extent permissible by law, ShopRise and associated ShopRise Entities shall not be accountable, irrespective of the theory of liability (contractual, tort-based, negligence, warranty, or others), for any indirect, consequential, incidental damages or loss of profits, even if forewarned. The cumulative liability of ShopRise Entities arising from these Terms or the Services shall not exceed the greater of $100 or the amount you paid to ShopRise in the preceding 12 months from the event leading to the claim.

Notably, the stipulations in this Section 16 don’t curb or exclude accountability for gross negligence, fraudulent actions, intentional malfeasance of ShopRise Entities, or other exclusions as per law. Jurisdictional variations may render some exclusions or limitations non-applicable.

  1. Risk Assumption
  2. It is imperative to recognize and concur that internet-based platforms and real-life interactions with other platform users carry inherent risks. ShopRise does not conduct comprehensive evaluations or verification of user conduct, credentials, or any other submitted details. Your onus is to employ necessary precautions, especially when convening in person with unfamiliar individuals. There’s potential risk from users who might seek to inflict harm, defraud, or misuse your information. You singularly bear the risks tied to transactions and interactions through ShopRise’s Services.

  1. Regarding Community Meetup Points: These are venues where an external entity (like a police agency or a retail entity) has permitted the placement of a Community Meetup Point signpost. While we advocate for these points to be in well-illuminated, monitored, and frequented areas, ShopRise does not scrutinize or vouch for the safety or condition of these spots. Engaging with Community Meetup Points remains under your responsibility and is governed by Sections 15-18 of these Terms.

  1. Release

In compliance with prevailing laws, you hereby discharge ShopRise and associated entities from all responsibilities, liabilities, claims, demands, and consequential or direct damages, recognized or concealed, stemming from or associated with user disputes, job applications, postings, and actions or inactions of third-party entities. If you are a Californian consumer, you waive rights conferred by California Civil Code § 1542, stating that a general release does not encompass claims unknown to the releasing party at the time of the release, which, if known, would have significantly affected the settlement with the debtor.

  1. Data Transfer and Processing

To facilitate our Services, you consent to our processing, transfer, and storage of your data across various nations, including those where legal protections may differ from your local regulations.

  1. Guidelines for Law Enforcement

Should you be a representative of a law enforcement agency seeking collaboration on matters pertaining to legal violations, kindly refer to our dedicated page for further details.

  1. Dispute Resolution and Binding Arbitration

It is imperative to scrutinize this section diligently as it mandates arbitration for certain disputes with ShopRise, thus restricting avenues for legal recourse, barring a few exceptions outlined herein. This agreement disallows class or representative actions or arbitrations.

Prohibition of Representative Actions: Both parties acknowledge and affirm that any dispute arising from these Terms or our Services is solely individual in nature. All disputes shall be individually addressed, prohibiting any class or representative proceedings. Any claims regarding tax refunds led by a taxpayer class against ShopRise in compliance with state and local marketplace facilitator/provider laws are encompassed in this limitation. This does not bar a buyer from lodging a refund claim with the seller or appropriate tax authorities as permissible by law.

Arbitration Details: With exceptions for minor claims where individual actions are sought in small claims court based on your billing address, or disputes concerning alleged intellectual property misuse, both parties relinquish their rights to a jury trial and court resolution. Disputes shall be addressed through a Notice sent to ShopRise at the provided email or physical address. This Notice must include relevant personal, account, and claim details. If consensus is not reached within 30 days, either party may proceed with binding arbitration through JAMS in King County, Washington. Arbitrations can also be conducted remotely for claims under $10,000. The arbitration process will abide by the JAMS Streamlined Arbitration Rules and Procedures.

This Section’s enforceability will be predominantly governed by the Federal Arbitration Act (FAA), harmonizing with the JAMS Rules. The appointed arbitrator possesses exclusive authority over procedural and substantive decisions, along with granting remedies otherwise available in court.

All arbitration processes, judgments, and awards are confidential, barring circumstances where law mandates disclosure. For initiated arbitrations, filing fees are borne by the user, while ShopRise covers the remaining JAMS fees and costs. Appeals and enforcement of arbitration awards are under the exclusive jurisdiction of the state or federal courts in King County, Washington.

Subject to prevailing legal standards, you and ShopRise absolve one another from any claims, demands, liabilities, and damages (both direct and consequential) of any kind, whether or not previously known, arising from or related to disputes among users or the actions/inactions of third parties. For Californian residents, you specifically waive any rights under the California Civil Code § 1542, which suggests that a comprehensive release may not cover claims not known at the time of agreement.

  1. Data Transfer and Processing

To facilitate our Services, you consent to us processing, transferring, and storing data about you across various countries. These jurisdictions might not offer the same data protection as your local laws.

  1. Collaboration with Law Enforcement

Should you represent a law enforcement agency, we stand ready to collaborate on matters pertaining to legal violations. Refer to the appropriate section for detailed information.

  1. Arbitration and Dispute Resolution

It’s crucial that you understand this section, as it mandates binding arbitration for certain disputes and delineates the procedures for such disputes. Class actions or representative arbitrations are not permissible under this agreement, and such proceedings prohibit court litigations or jury trials.

  1. Representation Limitations: Both ShopRise and you concur that disputes emerging from these Terms or our Services are individual. These disputes will be addressed individually and will not be merged with any class or representative procedures.

25.Arbitration Procedures: Disputes, with some exceptions, will be arbitrated confidentially in King County, Washington. If considered a “consumer,” you have the right to choose the nearest JAMS office to your residence for arbitration. This section further incorporates the JAMS Streamlined Arbitration Rules and Procedures.

Federal statutes, notably the Federal Arbitration Act, will govern the enforceability of this arbitration agreement. The arbitrator holds exclusive authority to address any related disputes, subject to the limitations outlined.

  1. Confidentiality: All parties commit to maintaining confidentiality concerning arbitration proceedings, except where legally mandated.

  1. Fees: While you cover the filing fee, ShopRise will bear all remaining arbitration costs. Jurisdiction over appeals and the enforcement of an arbitration award remains exclusive to the courts of Washington, King County.

  1. Jurisdiction and Governing Law

All disputes emerging from these Terms will be governed by Washington state law, excluding instances superseded by U.S. federal law. Disputes not subject to arbitration will be resolved within the state or federal courts of Washington, located in King County.

  1. Service Modifications and Termination

ShopRise retains the right to modify or discontinue any or all parts of the Services without prior notice. You retain the right to discontinue use of our Services. ShopRise is not liable for any losses or damages arising from inability to access or use the Services.

  1. Additional Provisions

Certain provisions of these Terms may be rendered inapplicable due to legal constraints, but this does not invalidate the remainder of the Terms. No non-enforcement of any right under these Terms constitutes a waiver of that right. ShopRise functions as an independent entity and not as your representative or trustee. Electronic mediums may be used for our communications and transactions.

Supplementary conditions (“Extended Terms”) are integrated into these main Terms and become applicable based on specific services you utilize.
